We build scalable lead engines using data, performance marketing, and outbound strategies to help you identify ideal customers, craft messaging, launch multi-channel campaigns, and optimize for conversions and revenue growth. All services are delivered as described in the specific proposal or agreement executed with you.

2. Acceptance and Eligibility

You represent and warrant that:

  • You are at least 18 years old and have the legal capacity to enter into binding contracts.
  • You are using the services for a legitimate business purpose and not for any unlawful activity.
  • All information you provide to us (including business details, target audience data, and payment information) is accurate, complete, and up-to-date.

3. Client Obligations and Responsibilities

As our client, you agree to:

  • Provide accurate and complete information required for campaign setup (e.g., Ideal Customer Profile, branding assets, approved messaging).
  • Comply with all applicable laws, including data protection laws (such as the Digital Personal Data Protection Act, 2023 in India), anti-spam regulations, and advertising guidelines.
  • Obtain all necessary consents for any data or contacts you share with us.
  • Not use the leads or services for any illegal, harassing, or unethical purposes.
  • Cooperate fully in campaign optimization and provide timely feedback.

You are solely responsible for verifying the suitability of any leads delivered and for all follow-up communications, sales activities, and compliance with consumer protection laws.

4. Fees, Payment, and Pricing

  • Pricing is flexible and will be outlined in a separate proposal, quotation, or service agreement.
  • Payment terms (including any upfront fees, milestones, or monthly retainers) will be specified in the agreement.
  • All fees are non-refundable unless explicitly stated otherwise in writing.
  • Late payments may attract interest at 1.5% per month or the maximum rate permitted by law.
  • We reserve the right to suspend or terminate services for non-payment.

5. Lead Delivery, Quality, and Performance

  • Leads are provided based on the agreed criteria (e.g., Ideal Customer Profile).
  • We strive for high-intent leads but do not guarantee specific conversion rates, sales outcomes, revenue, or ROI. Results depend on multiple factors including your sales process, market conditions, and follow-up efforts.
  • All leads are delivered “as is” without any warranty of accuracy, validity, or deliverability beyond the agreed targeting parameters.
  • We are not responsible for any changes in lead quality due to platform policy updates, data source changes, or external factors.

6. Intellectual Property

  • You retain ownership of your pre-existing materials (branding, content, etc.).
  • We retain ownership of all our proprietary methodologies, tools, creatives, landing page templates, and systems unless otherwise agreed.
  • Upon full payment, you receive a limited, non-exclusive, non-transferable license to use the deliverables (e.g., landing pages, creatives) solely for your internal business purposes.
  • You grant us a royalty-free license to use your logos, trademarks, and case study materials for our marketing purposes (with prior approval where required).

7. Confidentiality and Data Protection

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. We handle your data and any leads data in accordance with our Privacy Policy (to be published separately) and applicable Indian data protection laws. You are responsible for ensuring that any data you provide to us has been lawfully obtained.

8. Warranties and Disclaimers

  • We provide services on an “as is” and “as available” basis.
  • We do not warrant uninterrupted or error-free service, specific results, or that leads will convert into customers.
  • All implied warranties (including merchantability or fitness for a particular purpose) are disclaimed to the maximum extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, Technoleads shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, or loss of data) arising out of or related to these Terms or our services. Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Technoleads, our officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your breach of these Terms;
  • Your misuse of leads or services;
  • Any violation of applicable laws by you or your representatives.

11. Termination

  • Either party may terminate the services as per the terms of the specific agreement.
  • We may suspend or terminate your access immediately for breach of these Terms, non-payment, or illegal activity.
  • Upon termination, you must pay all outstanding fees, and any licenses granted will terminate.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your City, State], India.

13. Changes to These Terms
